Board of Director Meeting Minutes
June 1, 2006

Attendees: Steve Hackett, Rick Reece, Mike Forman, Sandy Brainard, Gerry Bryant, Jennifer Farros, Kym Lee-Young

Absent: Stu Williams

Satellite Seminar: The upcoming Seminar on June 8 at DVC is on track. Nine have signed up so far. We have been successful with these this year and plan to continue for next year. The schedule is: 10/12/06 Finance; 2/8/07 Critical Business Skills; 4/19/07 Diversity; 6/7/07 Project Management.

Leadership Conference: The Conference is scheduled for July 7 and 8 in Las Vegas. Steve, Gerry, Jennifer and Kym have signed up. Mike will also be there in his capacity as a District officer.

Officer Liability Insurance: Rick will provide forms to Steve.

NAPM-DV Domain Renewal: The web-hosting site has been renewed for three years. The website will expire in May, 2009.

Bylaws and Articles of Incorporation Approval: In the Bylaws a change needs to be made in Article IX, Section 5 to clarify which that the Treasurer along with another officer can countersign checks. On Articles of Incorporation, need to verify wording of Article VIII to be consistent with state requirements. Steve will follow-up on both items.

Transition of Responsibilities to New Board: Steve will remain as President, Gerry will become Secretary, and Jennifer will be Treasurer. Kym will be a Director at Large. Under this configuration communications and membership are not staffed at this time. Mike will remain a Directory at Large to jump in where needed. On behalf of the Board, Steve expressed appreciation to Sandy and Rick who are leaving the Board. Sandy will continue with communications until a replacement is found. We welcomed the new board members Jennifer and Kym.

Student Membership: After much discussion, we decided to keep the previous fee of $10. This will entitle a student to all benefits of full membership, including access to Supplier Knowledge.

Membership: As of June 1, 2006, we have 88 members.

Next Meeting: A conference call is scheduled for June 29 at 7p.m. for those who will attend the Leadership Conference.
