Board of Director Meeting Minutes
August 26, 2006

Attendees: Steve Hackett, Jennifer Farros, Kym Lee-Young, Gerry Bryant

Excused: Mike Forman

Steve provided Board Member Manuals to each member of the Board. Each binder contained the following: 1) Contact information for each Board member; 2) Blank calendar pages for the upcoming year; 3) Sample job descriptions; 4) Articles of Incorporation; 5) ByLaws; 6) Expense guidelines.

Review ByLaws: Steve sent the ByLaws to ISM for review. He received a letter back requesting some changes. Steve will incorporate these changes and re-submit to the Board for approval.

Expense Guidelines: The Board approved the expense guidelines as shown in the Binder with a change to show that receipts are required for expenses greater than $10.

Articles of Incorporation: Steve had talked to the State of California. We are current. Every 2 years, we need to submit a new Statement of Information. This will be due in August 2007. The submission costs $20. We can make changes at our next submission. Remember to change from Rick Reece’s name and address to President-(Name of President) and our address if we can use a PO Box number.

Review/Modify Job Descriptions: We reviewed and revised the descriptions provided in the Binder. Steve will update. Note that the ByLaws allow the President to fill vacancies on the Board with the approval of the Board.

Report on Bay Area Presidents Meeting: Steve met with the following Presidents: Jay Krider (NAPM-Northern California), Roberta Spalding (NCMA), James Reeds (NAPM-Silicon Valley), and Philolis Goode (ISM-Sacramento). Steve will send the NCMA link to Karina (our webmaster) to add to our web page. The others are already on it.

Create Vision/Mission statements: Steve has the master.

Demographics of our Membership: Steve shared his analysis, looking at our membership in two different ways. One is where everyone lives and the other is where everyone works.

Set Board Meeting Calendar for the Year: Our planned schedule is as follows: Board meetings: 9/21, 10/12, 11/9, 12/14, 1/11/07, 2/8, 3/8, 4/12, 5/10, 6/14

Student Membership: The Board agreed that student memberships are free.
